MEDLLAMA

Terms of Service

THESE TERMS OF SERVICE GOVERN ACCESS TO AND USE OF MEDLLAMA, INCLUDING ACCOUNT ELIGIBILITY, PROFESSIONAL-USE RESPONSIBILITIES, SUBSCRIPTIONS, AI-ASSISTED FEATURES, USER CONTENT, ACCEPTABLE USE, INTELLECTUAL PROPERTY, SERVICE AVAILABILITY, TERMINATION, DISPUTES, AND OTHER CONTRACTUAL TERMS

Last Update

1. ACCEPTANCE OF THESE TERMS

Binding Agreement

These Terms of Service (the "Terms") form a binding agreement between you and MEDLLAMA LLC ("MedLlama", "we", "us", or "our") regarding your access to and use of the MedLlama mobile application, the MedLlama website at www.medllama.app, and related features, content, subscriptions, cloud services, and AI-assisted functionality (collectively, the "Services"). By creating an account, completing an in-app acceptance step, purchasing a subscription, accessing a feature that refers to these Terms, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not create an account or use the Services.

Electronic Acceptance

An electronic checkbox, button, account-creation action, subscription purchase, or other affirmative electronic action may constitute your acceptance of these Terms to the same extent as a written signature where permitted by applicable law. Some features may require additional affirmative acknowledgment or consent, including acknowledgment of the Medical Disclaimer and consent relating to third-party AI processing as described in the Privacy Policy.

Related Policies

These Terms should be read together with the MedLlama Privacy Policy and the Medical Disclaimer and Limitation of Liability. Those documents contain important information regarding privacy, health-data processing, AI limitations, professional responsibility, emergency limitations, and clinical-risk disclosures. Where a feature presents additional feature-specific conditions, safety notices, purchase terms, or consent disclosures, those additional terms also apply to the extent relevant to that feature.

2. ABOUT MEDLLAMA

Service Provider

The Services are provided by: MEDLLAMA LLC Montana, United States Business Address: 244 5th Ave, Suite 1623, New York, New York 10001, United States Website: www.medllama.app

Nature of the Services

MedLlama provides software and technology services, including AI-assisted tools for reviewing, organizing, explaining, and interacting with health, medical, clinical, medication, laboratory, imaging, document, and other supported information. The precise features available may vary by application version, subscription tier, platform, jurisdiction, device capability, provider availability, product configuration, and regulatory or technical requirements.

Not a Healthcare Provider

MEDLLAMA LLC is a software and technology company. It does not itself operate a medical practice, hospital, clinic, pharmacy, radiology practice, pathology laboratory, emergency service, or telehealth medical practice through the ordinary consumer/professional SaaS version of MedLlama. The clinical and medical limitations of the Services are described in greater detail in the Medical Disclaimer and Limitation of Liability.

3. ELIGIBILITY & MINIMUM AGE

Minimum Age of 18

You must be at least 18 years old to create a MedLlama account or use the Services. By creating an account or using MedLlama, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

No Use by Minors

The current version of MedLlama is not intended for persons under 18 years of age. A parent, guardian, clinician, teacher, or other adult may not create an account for the purpose of allowing a person under 18 to independently use the Services in violation of this age requirement.

Changes From Earlier Versions

If an earlier version of MedLlama permitted a younger age category or contained a supervision acknowledgment for users under 18, the current eligibility requirement stated in these Terms controls for use of the current Services once these Terms become effective.

4. INTENDED PROFESSIONAL & HEALTHCARE-SECTOR USERS

Healthcare-Sector Audience

MedLlama is designed for adults who work, study, train, teach, research, or otherwise participate professionally in healthcare, medicine, health sciences, pharmacy, nursing, allied health, clinical research, medical education, or related healthcare fields. This may include licensed or otherwise authorized healthcare professionals, healthcare staff, medical and health-science educators, researchers, residents, interns, adult students, trainees, and other adults engaged in the healthcare sector.

Different Features Require Different Competence

The fact that a person is part of the healthcare sector does not mean that the person is qualified to perform every clinical task supported by the application. You must use each MedLlama feature only within the limits of your education, training, professional competence, licensure or authorization, institutional privileges, supervision requirements, and applicable scope-of-practice rules.

Students and Trainees

Adult medical, nursing, pharmacy, health-science, and other healthcare students or trainees may use MedLlama for appropriate learning, training, or supervised professional purposes. Students and trainees must not use MedLlama to independently perform professional acts that they are not qualified or legally authorized to perform and must obtain appropriate supervision where required.

No Automatic Verification

MedLlama may rely on user representations regarding professional or healthcare-sector status and does not necessarily verify a professional license or credential at initial account creation. MEDLLAMA LLC reserves the right, where reasonably necessary for safety, legal compliance, service integrity, fraud prevention, or access to particular features, to request additional information reasonably related to eligibility or professional status.

False Representation

You must not falsely claim to be a physician, healthcare professional, student, trainee, researcher, or other professional. Material misrepresentation of eligibility or professional status may result in restriction, suspension, or termination of access to the Services.

5. PROFESSIONAL RESPONSIBILITY

Your Professional Duties Continue

Use of MedLlama does not transfer professional responsibility from you to MEDLLAMA LLC, an AI model, a cloud provider, an app store, or another technology provider. If you use information from MedLlama in a healthcare, educational, research, or professional setting, you remain responsible for determining whether your use is lawful, appropriate, within your competence, and consistent with applicable professional standards.

Independent Judgment

You must independently evaluate and verify clinically relevant AI-generated information before using it in connection with patient care or another safety-sensitive professional activity. The Medical Disclaimer and Limitation of Liability contains additional requirements and limitations concerning clinical reasoning, differential diagnosis, imaging, laboratory information, medication information, dosing, emergency use, and other medical functionality.

Local Rules

Professional licensing, scope-of-practice, privacy, medical-device, telehealth, prescribing, documentation, informed-consent, institutional, and clinical-governance requirements vary by jurisdiction and setting. You are responsible for determining and complying with requirements that apply to your own professional activities.

6. ACCOUNT REGISTRATION

Accurate Account Information

You agree to provide information that is accurate and reasonably current when creating or maintaining your MedLlama account. You must not create an account using another person's identity, use misleading account information for fraudulent purposes, or intentionally provide false eligibility information.

Authentication

MedLlama may support authentication through services such as Sign in with Apple or Sign in with Google. Your use of those identity providers is also subject to the applicable provider's terms and privacy practices.

One Account for One User

A MedLlama account is intended for use by the individual account holder. You may use your own account on supported devices that you own or control, but you must not share account credentials or provide another person with ongoing access to your personal MedLlama account.

7. ACCOUNT SECURITY

Protect Your Account

You are responsible for maintaining the confidentiality and security of your device, email account, Apple or Google sign-in credentials, and other authentication information associated with MedLlama.

Unauthorized Access

You must promptly take reasonable steps to secure your account if you suspect unauthorized access, credential compromise, or another security issue. You are responsible for activity performed through your account to the extent permitted by applicable law, except where the activity results from a security failure for which MEDLLAMA LLC is legally responsible.

No Credential Sharing

You may not sell, rent, lend, transfer, sublicense, or share access credentials to a MedLlama account or use an account-sharing arrangement to bypass subscription, eligibility, access-control, or security restrictions.

8. FREE ACCESS, LIMITED ACCESS & PAYWALL CONFIGURATIONS

Service Configuration May Vary

MedLlama may be offered using different access configurations. In some versions or periods, a paid subscription may be required before substantial functionality becomes available. In other versions or periods, limited functionality may be available without a paid subscription while premium information, reports, tools, or features remain restricted to subscribers.

No Guarantee of Permanent Free Access

The availability of a free tier, limited free access, preview content, partially obscured premium content, promotional access, or other non-paid functionality is not guaranteed to continue indefinitely. MEDLLAMA LLC may modify the boundary between free and paid features, provided that changes affecting existing paid subscriptions are handled consistently with applicable law and applicable app-store requirements.

Hard Paywall

MedLlama may use a hard-paywall configuration in which a user must start an eligible subscription or trial before continuing to the primary Services. Whether a hard paywall is active is determined by the product configuration presented to you at the time of use.

9. SUBSCRIPTION PLANS

Available Plans

MedLlama may offer auto-renewable subscription plans with weekly, monthly, and annual billing periods. The exact products, prices, currencies, taxes, introductory offers, trial periods, and included benefits are those displayed in the application and by the applicable app store at the time of purchase.

Plan Availability

Not every subscription plan or promotional offer is guaranteed to be available to every user, platform, country, or account. MEDLLAMA LLC may add, remove, or modify subscription products for future purchases, subject to applicable app-store rules and mandatory law.

Subscription Benefits

A subscription provides access to the features or usage entitlements described for the purchased plan at the time of purchase, subject to reasonable product updates, safety restrictions, service availability, and these Terms.

10. FREE TRIALS & PROMOTIONAL OFFERS

Optional Free Trials

MEDLLAMA LLC may offer free trials or other introductory offers from time to time and may also operate periods in which no trial is available. The availability, eligibility, duration, and post-trial price of an offer will be displayed through the applicable purchase interface before confirmation.

Conversion to Paid Subscription

Where an offer is configured as an auto-renewable subscription trial, the subscription may automatically convert to the applicable paid subscription at the end of the trial unless you cancel within the period required by the app store and the terms displayed at purchase.

Eligibility

Eligibility for a free trial, introductory offer, promotional offer, or win-back offer may be determined by the applicable app store and may depend on prior subscription or purchase history. MEDLLAMA LLC does not guarantee that a user who previously received an offer will be eligible to receive the same offer again.

11. BILLING & AUTO-RENEWAL

App Store Billing

For the current iOS release, eligible subscription purchases are processed through Apple's App Store billing system. MEDLLAMA LLC does not directly receive or process your full payment-card number for App Store purchases.

Automatic Renewal

Auto-renewable subscriptions renew automatically until canceled through the applicable app-store account settings, subject to the terms displayed by the store. The app store may charge the applicable subscription price, including taxes where required, shortly before or at the beginning of the next subscription period.

Manage Subscription

You are responsible for managing auto-renewal through the subscription-management tools made available by the applicable app store. Turning off auto-renewal generally prevents the next renewal but does not ordinarily remove access for the remainder of a period that has already been paid for, unless the store processes a refund or otherwise changes the entitlement.

Future Platforms

If MedLlama later becomes available through another supported platform or store, purchases made through that platform may be governed by that platform's billing, cancellation, refund, tax, and subscription-management rules in addition to these Terms.

12. CANCELLATION, REFUNDS & ACCOUNT DELETION

Canceling a Subscription

Canceling auto-renewal and deleting a MedLlama account are separate actions. To stop future App Store subscription renewals, you must cancel the subscription through Apple's subscription-management interface or another applicable store interface.

Deleting Your Account Does Not Automatically Cancel Store Billing

Deleting your MedLlama account does not by itself automatically cancel an auto-renewable subscription billed by Apple. If you delete your account while an App Store subscription remains active, Apple may continue billing until you separately cancel the subscription. You should review and cancel an active subscription before or immediately after deleting your MedLlama account if you do not want future renewal charges.

Refund Requests

For purchases billed by Apple, refund decisions are controlled by Apple under Apple's applicable refund process. MEDLLAMA LLC and RevenueCat cannot directly issue an Apple App Store refund on your behalf. Nothing in these Terms limits a refund or cancellation right that applicable law or the applicable app store requires to be provided.

No Automatic Prorated Refund

Except where required by applicable law or granted by the applicable app store, cancellation, account deletion, suspension, or termination does not create an automatic right to a prorated refund for the unused portion of an already-paid subscription period.

RevenueCat

MedLlama currently uses RevenueCat to help validate purchases and manage subscription entitlements. RevenueCat is not the party that determines Apple App Store refund requests; Apple makes those decisions for Apple-billed purchases.

13. FAMILY SHARING

No Family Sharing Promise

MedLlama does not promise that subscriptions or subscription entitlements will be available through Apple Family Sharing or another family-sharing system. Unless a purchase interface expressly states otherwise, you should assume that the purchased MedLlama entitlement is intended for the purchasing account and is not a shared family entitlement.

14. USER CONTENT

Your Content

For purposes of these Terms, "User Content" includes text, prompts, symptom descriptions, profile information, medical or clinical information, images, photographs, X-rays, CT or MRI-related materials, ECG-related materials, PDFs, reports, laboratory information, medication information, pathology materials, genetic information, feedback, files, and other materials that you submit to the Services.

Ownership

As between you and MEDLLAMA LLC, you retain the rights that you lawfully hold in your User Content. These Terms do not transfer ownership of your original medical documents, photographs, clinical records, or other User Content to MEDLLAMA LLC merely because you upload them to the Services.

Authority to Submit

You represent that you have the rights, permissions, professional authority, consent, or other lawful basis necessary to upload, transmit, store, and process User Content through MedLlama. You must not submit another person's confidential, protected, copyrighted, proprietary, or personal information if you do not have the legal right or authorization to do so.

15. LICENSE YOU GRANT TO MEDLLAMA FOR USER CONTENT

Limited Service License

You grant MEDLLAMA LLC a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, format, process, display back to you, and otherwise technically use your User Content only as reasonably necessary to provide, secure, maintain, and support the Services you request and to comply with applicable law.

Use of Service Providers

The limited license above includes the ability to permit disclosed service providers, such as cloud, storage, authentication, subscription, and AI-processing providers, to process User Content on our behalf or as otherwise disclosed in the Privacy Policy to the extent necessary to provide the applicable Services.

No Advertising License

The license you grant under these Terms does not grant MEDLLAMA LLC permission to sell your medical records, use your health information for targeted advertising, publish your clinical files publicly, or train MEDLLAMA LLC's own future AI models with your clinical conversations where the Privacy Policy states that we do not perform those activities.

End of License

The service license ends when the relevant User Content is deleted from MedLlama's active systems, except to the extent temporary retention remains necessary for deletion processing, backup lifecycle, legal obligations, security, or legal claims as described in the Privacy Policy.

16. PATIENT & THIRD-PARTY INFORMATION

Your Responsibility for Authorization

If you upload or enter information concerning a patient, client, colleague, family member, or other person, you are responsible for ensuring that you are authorized to process that information through MedLlama.

Professional Confidentiality

Healthcare professionals and other users with confidentiality duties remain responsible for complying with applicable professional confidentiality, medical-record, consent, privacy, employment, institutional, and data-protection requirements.

Data Minimization

You should avoid submitting direct identifiers that are unnecessary for the requested feature and should de-identify or minimize information where required by law, professional standards, institutional policy, or the circumstances of the case.

No Public Community Feed

MedLlama does not currently operate a public community feed in which users publish patient materials or clinical records to other MedLlama users. The absence of a public feed does not remove your obligation to have lawful authority for information that you privately upload to the Services.

17. AI-ASSISTED FEATURES

AI Functionality

MedLlama may use one or more third-party artificial intelligence systems and related software components to generate summaries, explanations, structured reports, clinical reasoning support, medication information, visual observations, document analysis, or other outputs based on information you submit.

Providers May Change

MEDLLAMA LLC may change, add, replace, upgrade, or discontinue particular AI models, model versions, cloud providers, inference providers, orchestration systems, or supporting technologies. These Terms do not promise permanent access to any particular model name, model version, provider, or underlying technical architecture.

AI Is Not Deterministic

AI-generated content may vary between requests and may produce different outputs for the same or similar inputs. You must review AI-generated content in accordance with the Medical Disclaimer and Limitation of Liability before relying on it in a clinical or safety-sensitive context.

Provider Requirements

Your use of AI-assisted features must not intentionally cause MEDLLAMA LLC or its service providers to violate applicable law, binding platform rules, or provider restrictions. MEDLLAMA LLC may restrict a feature, model, region, input type, or category of use where reasonably necessary to maintain lawful and contractually permitted operation of the Services.

18. AI OUTPUTS

Definition

"AI Output" means text, reports, summaries, classifications, observations, structured information, or other content generated by an AI-assisted MedLlama feature in response to User Content or other permitted context.

Permitted Use

Subject to these Terms, applicable law, professional obligations, third-party rights, and the Medical Disclaimer, you may use, export, save, print, or share AI Output generated for your account for lawful personal, educational, research, or professional purposes.

Outputs May Not Be Unique

AI systems can generate the same or substantially similar content for different users. MEDLLAMA LLC does not promise that an AI Output is unique, original in the copyright sense, exclusive to you, or unavailable to another person.

No Exclusive Ownership Guarantee

To the extent MEDLLAMA LLC has rights that can lawfully be granted in an AI Output generated specifically for your account, MEDLLAMA LLC does not restrict you from using that Output for the lawful purposes permitted by these Terms. However, we do not guarantee that copyright, exclusive ownership, patent rights, or other intellectual-property protection exists in any particular AI-generated output. Laws concerning AI-generated material may differ by jurisdiction.

Third-Party Rights

An AI Output may contain or resemble concepts, language, names, or information that are subject to third-party rights or usage restrictions. You are responsible for evaluating intellectual-property, confidentiality, professional, and publication requirements before publicly publishing or commercially exploiting an AI Output.

Sharing Does Not Transfer Clinical Responsibility

Exporting or sharing an AI-generated report with a patient, colleague, healthcare professional, educator, researcher, or another authorized person does not convert MedLlama into the treating healthcare provider and does not remove the user's verification and professional responsibilities.

19. MEDICAL DISCLAIMER INCORPORATED

Medical Terms Apply

The MedLlama Medical Disclaimer and Limitation of Liability is incorporated into these Terms for use of medical, clinical, medication, diagnostic, imaging, laboratory, pathology, genetic, triage, risk, emergency, and other health-related features.

Clinical Conflicts

If these Terms and the Medical Disclaimer address the same clinical-safety issue at different levels of detail, the more specific clinical-safety limitation in the Medical Disclaimer applies to that issue, subject to mandatory law.

No Sole Reliance

You must not use MedLlama as the sole basis for a safety-critical diagnosis, exclusion of disease, prescription, medication change, treatment decision, emergency decision, or other clinical act where independent professional evaluation is required.

20. PRIVACY POLICY INCORPORATED

Privacy Practices

MedLlama's collection, use, storage, disclosure, retention, deletion, security, and processing of personal information and health-related information are described in the MedLlama Privacy Policy.

Data Processing Consent

Certain AI-assisted features require information to be transmitted to disclosed third-party AI or cloud providers. Where an applicable consent screen is required, you must complete that consent process before using the affected feature.

Privacy Conflicts

If these Terms and the Privacy Policy address the same data-handling issue at different levels of detail, the more specific privacy disclosure in the Privacy Policy controls with respect to how MEDLLAMA LLC handles personal information, subject to applicable law.

21. HIPAA & HEALTHCARE-ORGANIZATION USE

Current SaaS Offering

The current MedLlama service is offered as an individual software-as-a-service product and is not currently offered under a standard MedLlama Business Associate Agreement with hospitals, clinics, covered entities, or other healthcare organizations.

No HIPAA Representation

MEDLLAMA LLC does not represent in these Terms that the current consumer/professional SaaS version of MedLlama is HIPAA-compliant merely because the Services process health-related information.

Users Subject to HIPAA or Similar Rules

If your organization or professional activity is subject to HIPAA or another law that requires a Business Associate Agreement, data-processing agreement, specialized security terms, enterprise agreement, institutional authorization, or another contract before protected health information may be disclosed to a service provider, you must not submit that information to MedLlama unless the required arrangement is in place.

Future Enterprise Terms

MEDLLAMA LLC may offer separate enterprise, institutional, organization, security, privacy, data-processing, or healthcare agreements in the future. Those agreements may contain terms that differ from these consumer/professional SaaS Terms.

22. ACCEPTABLE USE

Lawful Use

You may use MedLlama only for lawful purposes and in accordance with these Terms, the Medical Disclaimer, the Privacy Policy, and applicable professional obligations.

No Unauthorized Clinical Data

You must not upload patient information, medical records, images, files, or other personal information that you are not lawfully permitted to process through the Services.

No Account Abuse

You must not access another person's account without authorization, share credentials to bypass access restrictions, create fraudulent accounts, purchase or sell accounts, or attempt to impersonate another person or professional.

No Professional Impersonation

You must not falsely represent professional qualifications, licensure, employment, education, institutional affiliation, or clinical authority.

No Security Circumvention

You must not bypass, disable, defeat, probe, overload, interfere with, or circumvent authentication, App Check, security rules, rate limits, subscription controls, access controls, model safeguards, or other technical protections of the Services.

No Reverse Engineering or Extraction

Except to the extent a restriction is prohibited by applicable law or allowed by an applicable open-source license, you must not reverse engineer, decompile, disassemble, derive source code, extract proprietary prompts, systematically reconstruct proprietary schemas, harvest model behavior, or attempt to reproduce protected technical components of MedLlama.

No Automated Scraping

You must not use bots, crawlers, scraping tools, automated agents, or high-volume automated requests to extract data, content, reports, prompts, responses, or other materials from the Services unless MEDLLAMA LLC has expressly authorized that access in writing or through a published developer interface.

No Malware or Harmful Content

You must not upload malware, malicious code, corrupted payloads, content designed to compromise systems, or files intended to exploit vulnerabilities in MedLlama or its providers.

No Safety-Control Evasion

You must not intentionally manipulate prompts, files, or other inputs for the purpose of bypassing safety controls, provider restrictions, professional-use requirements, or lawful usage limitations.

No Unauthorized Resale

You must not resell, sublicense, white-label, commercially redistribute, or operate MedLlama as a service bureau for third parties without MEDLLAMA LLC's written authorization.

No Emergency Misuse

You must not intentionally use MedLlama as a replacement for emergency services or knowingly rely on an AI response as the sole basis for delaying emergency care contrary to the Medical Disclaimer.

23. ENFORCEMENT OF ACCEPTABLE USE

Protective Measures

If MEDLLAMA LLC reasonably believes an account or request violates these Terms, applicable law, security requirements, provider restrictions, or patient-safety requirements, MEDLLAMA LLC may take proportionate measures including rate limiting, feature restriction, request blocking, temporary suspension, or account termination.

Safety and Security

MEDLLAMA LLC may act without advance notice when immediate restriction is reasonably necessary to address fraud, active security abuse, unlawful conduct, threats to the Services, provider enforcement, or a substantial safety risk.

No Obligation to Monitor Every Input

MEDLLAMA LLC is not required to manually review every user prompt, uploaded file, or AI request before processing. Automated safeguards and provider controls may be used where appropriate.

24. INTELLECTUAL PROPERTY OF MEDLLAMA

MEDLLAMA LLC Rights

Except for User Content and third-party materials, the Services and their proprietary elements are owned by or licensed to MEDLLAMA LLC and are protected by applicable intellectual-property laws. This may include MedLlama branding, trademarks, logos, product design, original graphics, source code, compiled code, interface elements, original written content, proprietary workflows, orchestration logic, prompts, schemas, structured output formats, database structures, and other non-user proprietary materials.

No Transfer of Ownership

Access to MedLlama or payment for a subscription does not transfer ownership of the application, source code, brand, infrastructure, proprietary workflows, or other MEDLLAMA LLC intellectual property to you.

Limited Right to Use

Subject to these Terms and any applicable app-store license, you receive a limited, revocable, non-exclusive, non-transferable right to access and use the Services for their intended lawful purposes during the period in which you are eligible to use them.

25. APP LICENSE & APPLE STANDARD EULA

Apple Application License

For MedLlama downloaded through Apple's App Store, the license to the application software is subject to Apple's applicable Standard Licensed Application End User License Agreement (Standard EULA) and Apple Media Services terms unless MEDLLAMA LLC later provides a valid custom EULA through the App Store.

These Terms Govern the MedLlama Service Relationship

These Terms govern your MedLlama account, cloud-based Services, AI-assisted features, subscriptions, professional-use obligations, User Content, and related MEDLLAMA LLC services. Apple's Standard EULA governs the application license to the extent applicable. These Terms are not intended to silently replace Apple's Standard EULA where Apple applies that agreement to the downloaded application.

Apple Is Not MedLlama

Apple is not responsible for operating MedLlama's cloud or AI services merely because the application is distributed through the App Store. App Store purchases, subscription management, and refunds remain subject to Apple's applicable terms and processes.

26. THIRD-PARTY SERVICES

External Providers

The Services may depend on third-party infrastructure and services, including app stores, identity providers, cloud hosting, databases, file storage, AI providers, security services, and subscription-management providers.

Separate Terms

Your use of a third-party service may also be subject to that provider's own terms, privacy policy, usage rules, acceptable-use rules, and technical limitations.

Changes by Third Parties

A third-party provider may modify, discontinue, restrict, suspend, or change its services, APIs, models, regions, prices, policies, or technical requirements. MEDLLAMA LLC may need to modify MedLlama as a result and does not guarantee permanent availability of a particular third-party integration.

Third-Party Links

MedLlama may contain links or references to third-party websites, publications, guidelines, app-store pages, or other resources. Unless expressly stated otherwise, a link does not mean that MEDLLAMA LLC controls or endorses the third-party service.

27. BETA, PREVIEW & EXPERIMENTAL FEATURES

Experimental Functionality

MEDLLAMA LLC may make beta, preview, experimental, early-access, test, or limited-release features available from time to time.

Additional Uncertainty

Experimental features may be incomplete, change substantially, contain additional errors, have lower availability, use different models or workflows, or be discontinued without becoming generally available.

No Reliance on Permanent Availability

You should not build a critical professional workflow that depends on continued availability of a beta or experimental feature unless MEDLLAMA LLC expressly provides a separate commitment in writing.

28. SERVICE CHANGES

Continuous Product Development

MedLlama is an evolving software service. MEDLLAMA LLC may update interfaces, prompts, schemas, AI models, supported file formats, report structures, features, subscription entitlements, safety controls, security mechanisms, and other aspects of the Services.

Feature Removal

MEDLLAMA LLC may discontinue a feature where reasonably necessary for product development, safety, legal compliance, provider availability, security, regulatory considerations, or commercial operation.

Material Paid-Service Changes

Where applicable law or app-store rules require notice, consent, continued access, or another remedy for a material change affecting a paid subscription, MEDLLAMA LLC will follow those requirements.

No Guarantee of Specific Model

References within the application, website, marketing material, or documentation to a particular AI model or model family do not create a perpetual contractual promise that the same model will remain in use for the entire life of the Services.

29. SERVICE AVAILABILITY

Worldwide Availability Goal

MedLlama may be offered to users in many countries and is intended for broad international availability. However, worldwide availability does not mean that every feature, subscription, AI model, payment option, language, or professional use is legally or technically available in every jurisdiction.

Regional Differences

Features may differ or be unavailable based on app-store distribution, provider availability, local law, sanctions, export controls, language support, infrastructure, regulatory requirements, or product configuration.

No Uptime Guarantee

Unless MEDLLAMA LLC enters into a separate written service-level agreement, the Services are provided without a guaranteed uptime percentage or guaranteed response time.

Maintenance and Outages

The Services may be temporarily unavailable due to maintenance, network failures, cloud-service outages, app-store issues, security events, provider failures, software defects, or circumstances outside MEDLLAMA LLC's reasonable control.

30. SUSPENSION & TERMINATION BY MEDLLAMA

Grounds for Suspension or Termination

MEDLLAMA LLC may restrict, suspend, or terminate an account or feature where reasonably necessary because of a material breach of these Terms, fraud, security abuse, false professional representation, unlawful use, unauthorized patient-data processing, subscription or payment abuse, provider or API abuse, legal or regulatory requirements, sanctions restrictions, or a material service-safety risk.

Proportionate Enforcement

Where circumstances reasonably allow, MEDLLAMA LLC may use a less restrictive measure before permanent termination, such as a warning, feature restriction, request block, or temporary suspension. Immediate suspension or termination may occur where continued access creates an urgent security, legal, fraud, provider, or safety risk.

Subscription Consequences

Suspension or termination of a MedLlama account does not automatically require an app store to issue a refund. Any refund entitlement remains governed by applicable law and the applicable store's refund process.

Data After Termination

Personal information and User Content following account termination are handled in accordance with the Privacy Policy, including applicable deletion periods and legally required retention.

31. TERMINATION BY THE USER

Stop Using the Services

You may stop using MedLlama at any time.

Cancel Subscription Separately

If you have an auto-renewable subscription, you must separately disable auto-renewal through the applicable app-store subscription-management interface if you want future billing to stop.

Delete Account

You may initiate account deletion through the in-app account-deletion functionality. Account deletion and associated data handling are described in the Privacy Policy.

Subscription and Account Are Separate

Canceling a subscription does not automatically delete your MedLlama account, and deleting your MedLlama account does not automatically cancel App Store billing.

32. USER FEEDBACK

Feedback

If you voluntarily send MEDLLAMA LLC general product suggestions, feature ideas, bug descriptions, or other feedback that does not contain protected patient information or confidential third-party material, you grant MEDLLAMA LLC permission to use that feedback to evaluate, develop, improve, or operate the Services without an obligation to compensate you.

Do Not Send Confidential Ideas

Do not submit trade secrets, confidential employer information, confidential patient information, or proprietary third-party material as general product feedback unless you are authorized to do so and the information is necessary for the support purpose.

Feedback Is Different From Clinical Data

This feedback provision does not grant MEDLLAMA LLC a general right to use your private clinical conversations, health profile, medical images, or medical records for unrelated product training or advertising purposes. Those data practices are governed by the Privacy Policy.

33. NO MEDICAL, EMPLOYMENT OR AGENCY RELATIONSHIP WITH MEDLLAMA

No Doctor-Patient Relationship

Use of the Services does not by itself create a doctor-patient, pharmacist-patient, therapist-patient, radiologist-patient, pathologist-patient, or other healthcare relationship between MEDLLAMA LLC and you or a person whose information is submitted to MedLlama.

No Employment or Partnership

These Terms do not create an employment, partnership, joint venture, fiduciary, franchise, or agency relationship between you and MEDLLAMA LLC.

No Authority to Bind MedLlama

You may not represent that you have authority to enter contracts, make clinical commitments, or make legal representations on behalf of MEDLLAMA LLC unless MEDLLAMA LLC has expressly authorized you in writing.

34. DISCLAIMER OF WARRANTIES

As Available

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

No Guarantee of Error-Free Service

MEDLLAMA LLC does not warrant that the Services will be uninterrupted, error-free, perfectly secure, available in every location, compatible with every device, free from all harmful components, or capable of detecting every data or clinical error.

No Guarantee of AI Accuracy

MEDLLAMA LLC does not warrant that AI Output will be accurate, complete, current, unique, clinically appropriate, or suitable for a particular professional decision. Additional medical and AI-specific limitations are stated in the Medical Disclaimer and Limitation of Liability.

No Guarantee of Professional Outcome

MEDLLAMA LLC does not guarantee that use of the Services will produce a particular educational result, clinical outcome, professional result, financial result, diagnosis, treatment outcome, or patient outcome.

Mandatory Rights Preserved

Nothing in these Terms excludes a warranty, guarantee, statutory right, or remedy that applicable law does not permit the parties to exclude.

35. LIMITATION OF LIABILITY

Excluded Categories of Loss

To the maximum extent permitted by applicable law, MEDLLAMA LLC and its affiliates, officers, directors, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, business opportunity, goodwill, or data, arising from or relating to the Services, even if the possibility of such damages has been communicated, except where such exclusion is prohibited by law.

Aggregate Liability Cap

To the maximum extent permitted by applicable law, the total aggregate liability of MEDLLAMA LLC arising out of or relating to the Services and these Terms will not exceed the greater of: (a) the amount you actually paid for MedLlama subscriptions during the twelve months immediately preceding the event giving rise to the claim; or (b) US $100. This limitation does not apply where applicable law prohibits such a limitation.

Clinical Matters

Clinical-use limitations, independent-verification requirements, and medical-risk allocation are additionally addressed in the Medical Disclaimer and Limitation of Liability. These contractual limitations do not authorize MEDLLAMA LLC to exclude liability that applicable law requires MEDLLAMA LLC to bear.

Non-Waivable Liability

Nothing in these Terms excludes or limits liability for fraud, intentional misconduct, or another category of liability that cannot legally be excluded or limited, including death or personal injury to the extent applicable law prohibits such limitation.

Local Consumer Rights

Some jurisdictions do not permit certain warranty disclaimers or limitations of liability. In those jurisdictions, the relevant provisions apply only to the maximum extent legally permitted.

36. USER RESPONSIBILITY FOR THIRD-PARTY CLAIMS

Claims Caused by Your Unlawful Conduct

To the maximum extent permitted by applicable law, you agree to be responsible for third-party claims, losses, liabilities, and reasonable costs directly arising from your intentional unlawful conduct, your material breach of these Terms, your submission of content that you had no right to submit, or your infringement of another person's intellectual-property or privacy rights.

Professional Data Misuse

This may include a claim caused by your knowing submission of patient information without required authority, your false professional representation, or your use of the Services in a manner that violates a binding legal or professional obligation applicable to you.

Limits

This section does not require you to indemnify MEDLLAMA LLC for MEDLLAMA LLC's own fraud, intentional misconduct, or liability that applicable law does not permit MEDLLAMA LLC to transfer to you.

37. EXPORT CONTROLS & SANCTIONS

Compliance

Because MEDLLAMA LLC is a United States company and uses international technology providers, the Services may be subject to United States and other applicable export-control, trade-control, and economic-sanctions laws.

Restricted Use

You must not access or use the Services where doing so is prohibited by applicable sanctions, export controls, or other binding trade restrictions.

Regional Availability

MEDLLAMA LLC may restrict access in a jurisdiction or to a person where reasonably necessary to comply with applicable sanctions, export restrictions, provider requirements, app-store availability, or other binding law.

38. COPYRIGHT, TRADEMARKS & THIRD-PARTY RIGHTS

MedLlama Marks

MedLlama names, logos, branding, and related marks are owned by or used under authority of MEDLLAMA LLC. You may not use those marks in a manner that falsely suggests sponsorship, endorsement, affiliation, or ownership.

Third-Party Marks

Third-party names, medical organizations, publications, products, databases, and trademarks referenced through the Services remain the property of their respective owners. Reference does not imply endorsement unless expressly stated.

Infringing Content

You must not use MedLlama to knowingly upload or distribute material that infringes another person's copyright, trademark, trade-secret, privacy, or other rights. MEDLLAMA LLC may remove or restrict access to content where reasonably necessary to respond to a valid rights complaint or legal requirement.

39. DATA EXPORT & CONTINUITY

Export Functionality

MedLlama may provide functionality that enables you to export supported information or AI-generated reports associated with your account.

Maintain Your Own Records

If information is important to your professional obligations, clinical documentation, research records, legal requirements, or continuity of care, you are responsible for maintaining the authoritative record required by your profession or institution. MedLlama must not be treated as the sole repository of records that you are legally required to maintain elsewhere.

Before Account Deletion

You should export information you wish to retain before deleting your account because account deletion initiates removal of associated MedLlama data as described in the Privacy Policy.

40. CHANGES TO THESE TERMS

Updates

MEDLLAMA LLC may update these Terms to reflect changes in the Services, subscriptions, law, professional requirements, safety practices, providers, business operations, or other legitimate reasons.

Material Changes

Where reasonably appropriate or legally required, material changes will be communicated through the application, website, account interface, or another reasonable method before or when the updated Terms take effect.

Re-Acceptance

MEDLLAMA LLC may require you to affirmatively accept updated Terms before continuing to use the Services where the changes are material or where applicable law requires renewed agreement.

Non-Material Changes

Administrative, formatting, clarifying, or other non-material changes may become effective when the updated Terms are posted or otherwise made available, subject to applicable law.

No Retroactive Waiver of Mandatory Rights

An update to these Terms does not retroactively eliminate rights or remedies that applicable law does not permit MEDLLAMA LLC to remove.

41. GOVERNING LAW

Montana Law

Except to the extent mandatory law in your place of residence requires otherwise, these Terms and disputes arising out of or relating to these Terms or the Services are governed by the laws of the State of Montana, United States, without regard to conflict-of-laws principles that would require application of another jurisdiction's law.

Mandatory Local Rights

If you are entitled to mandatory consumer, privacy, employment, professional, healthcare, or other statutory protections that cannot lawfully be waived by a choice-of-law clause, those protections remain applicable to the extent required by law.

42. DISPUTE RESOLUTION & COURTS

Informal Resolution First

Before filing a non-urgent legal action against MEDLLAMA LLC, you and MEDLLAMA LLC should make a reasonable good-faith effort to resolve the dispute informally for at least 30 days after written notice describing the dispute and requested resolution, unless applicable law permits immediate filing or urgent relief is reasonably necessary.

No Mandatory Arbitration in These Terms

These Terms do not currently require users to submit disputes to mandatory private arbitration and do not currently impose a contractual class-action waiver.

Montana Courts

Subject to mandatory local-law rights and rules concerning jurisdiction, venue, and consumer claims, disputes that are not resolved informally may be brought in a competent state or federal court located in Montana, United States.

Small Claims and Mandatory Forums

Nothing in this section prevents a party from using an available small-claims procedure or another forum that applicable law requires to remain available.

43. INTERNATIONAL & CONSUMER RIGHTS

Worldwide Users

MedLlama may be accessed by users in multiple countries. Laws concerning digital services, subscriptions, consumer rights, healthcare, privacy, contracts, and professional practice vary internationally.

Mandatory Consumer Protections

Nothing in these Terms is intended to waive a consumer right, statutory warranty, cancellation right, refund right, withdrawal right, court-access right, or other mandatory protection that applicable law does not permit you to waive.

App Store Rights

For purchases made through an app store, additional consumer protections, billing rules, refund mechanisms, and cancellation processes may apply under the store's terms and the law applicable to the transaction.

Professional Users May Still Have Consumer Rights

A person who works in healthcare may purchase MedLlama through a personal app-store account and may qualify as a consumer under applicable law. These Terms do not assume that every healthcare-sector user is legally a business customer.

44. LANGUAGE & TRANSLATIONS

English Version

The original contractual version of these Terms is prepared in English.

Translations

MedLlama may provide translations for convenience and accessibility. If a translation differs materially from the English version, the English version controls to the maximum extent permitted by applicable law.

Mandatory Local Language Rules

If applicable law requires a local-language version to control, or prohibits an English-control clause in the circumstances, the mandatory local rule applies.

45. FORCE MAJEURE

Events Outside Reasonable Control

To the maximum extent permitted by applicable law, MEDLLAMA LLC is not responsible for a delay or failure to perform an obligation caused by events outside its reasonable control, such as widespread internet outages, cloud-provider failures, natural disasters, war, civil disorder, government action, sanctions, labor disruption, major cyberattacks, app-store outages, or other comparable events.

Payment and Mandatory Rights

This section does not excuse obligations that applicable law does not permit to be excused and does not eliminate mandatory refund or consumer rights.

46. ASSIGNMENT

User Assignment

You may not transfer or assign your personal MedLlama account or your rights under these Terms to another person without MEDLLAMA LLC's consent, except where applicable law expressly gives you that right.

MEDLLAMA LLC Assignment

MEDLLAMA LLC may assign or transfer these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or transfer of the MedLlama business, subject to applicable law and the Privacy Policy.

47. SEVERABILITY

Invalid Provision

If a court or other competent authority determines that a provision of these Terms is unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent legally permissible or severed to the minimum extent necessary.

Remaining Terms

The remaining provisions will continue in effect unless the invalid provision is so essential that applicable law requires a different result.

48. NO WAIVER

Failure to Enforce

If MEDLLAMA LLC does not immediately enforce a provision of these Terms, that does not mean MEDLLAMA LLC permanently waives the provision or the right to enforce it later.

Written Waiver

A waiver by MEDLLAMA LLC must be clear and applies only to the specific circumstance for which it is given, except where applicable law requires otherwise.

49. ENTIRE AGREEMENT & ORDER OF PRECEDENCE

Contractual Package

These Terms, the Privacy Policy, the Medical Disclaimer and Limitation of Liability, applicable purchase disclosures, feature-specific notices, and any additional agreement expressly accepted by you form the relevant MedLlama contractual and disclosure framework for the Services.

Apple License

For an iOS application obtained through the App Store, Apple's applicable Standard EULA continues to govern the application license unless a valid custom EULA applies.

Specific Terms Control

If two MedLlama documents address the same subject and cannot reasonably be read together, a more specific feature-specific term generally controls over a more general term for that feature, while the Privacy Policy controls MEDLLAMA LLC's personal-data handling and the Medical Disclaimer controls specific medical and clinical safety limitations, subject in all cases to mandatory law.

Separate Enterprise Agreement

If MEDLLAMA LLC later enters a signed enterprise, institutional, healthcare, data-processing, or other written agreement with you or your organization, that signed agreement may modify or supersede these Terms to the extent it expressly says so.

50. SURVIVAL

Terms That Continue

Provisions that by their nature should continue after account deletion or termination remain effective to the extent necessary. These may include intellectual-property provisions, payment obligations already incurred, User Content rights and deletion rules, warranty disclaimers, limitations of liability, dispute provisions, governing law, and obligations concerning unauthorized use or third-party rights.
